Welcome to Hokie Hi Market ("Company," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your use of our website, services, and vending solutions. By accessing our website or entering into a service agreement with us, you agree to be bound by these Terms.

If you do not agree, please do not use our website or services.

Services Overview

Hokie Hi Market provides fully managed vending solutions, including but not limited to:

  • Installation and deployment
  • Product stocking and inventory management
  • Maintenance and repairs
  • Insurance coverage (unless otherwise agreed)
  • Payment processing integration
  • Performance monitoring and optimization

Specific terms related to revenue share, financial contributions, machine ownership, or buyout options are governed by separate written service agreements.

Service Agreements

All vending placements require a signed agreement outlining:

  • Revenue share percentages
  • Financial contributions (if applicable)
  • Ownership structure
  • Buyout terms
  • Utility and space requirements
  • Contract duration

In the event of any conflict between these Terms and a signed service agreement, the service agreement will control.

Customer Responsibilities (Location Partner)

Unless otherwise agreed in writing, the location partner agrees to:

  • Provide adequate space for installation
  • Maintain electricity and facility access
  • Ensure the environment is safe and compliant
  • Not tamper with, relocate, or service the machine
  • Notify Hokie Hi Market of operational concerns

Failure to meet these responsibilities may result in service suspension or agreement termination.

Payments & Revenue Share

All consumer transactions are processed through approved payment systems, including cash and digital payment platforms. Applicable sales tax will be collected and remitted in accordance with state and local regulations.

Revenue share payments to partners will be calculated based on gross machine sales unless otherwise stated in the signed agreement. Payment timing and reporting schedules will be outlined in the applicable contract.

Machine Ownership

Ownership of vending machines remains with Hokie Hi Market unless otherwise specified in a signed agreement. For Partner or Custom financing arrangements, the following will be governed by the executed agreement:

  • Buyout options
  • Ownership transitions
  • Revenue percentage adjustments
  • Investment contribution tracking

Hokie Hi Market reserves the right to repurchase or reclaim machines as outlined in contractual terms.

Intellectual Property

All website content, branding, logos, service materials, and digital assets are the property of Hokie Hi Market and may not be copied, distributed, or used without written permission.

Website Use

By using our website, you agree not to:

  • Engage in fraudulent activity
  • Attempt unauthorized access to systems
  • Disrupt site functionality
  • Misrepresent your identity

We reserve the right to restrict access for misuse.

Limitation of Liability

Hokie Hi Market is not liable for:

  • Indirect or incidental damages
  • Business interruptions beyond reasonable control
  • Third-party payment processor issues
  • Losses caused by facility-related outages (power, network, etc.)

Our liability shall not exceed the amount paid under the applicable service agreement.

Force Majeure

We are not responsible for delays or failures caused by events beyond our control, including natural disasters, supply chain disruptions, labor shortages, or government restrictions.

Termination

Service agreements may be terminated in accordance with contract terms. Early termination provisions, buyout conditions, and financial obligations will be governed by the executed agreement.

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or any service agreement, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notice, the parties agree to submit the matter to binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in the State of Florida.

Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise. Nothing in this section shall prevent either party from seeking emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Indemnification

The location partner ("Indemnifying Party") agrees to defend, indemnify, and hold harmless Hokie Hi Market and its officers, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • The location partner's breach of these Terms or any signed service agreement
  • Negligent or intentional acts or omissions by the location partner or its employees
  • Failure to maintain a safe, compliant, and accessible facility environment
  • Unauthorized tampering, relocation, or modification of vending equipment
  • Any third-party claims arising from the location partner's premises or operations

This indemnification obligation shall survive the termination of any service agreement.

Accessibility / ADA Compliance

Hokie Hi Market is committed to ensuring that its vending solutions are accessible to all individuals, including those with disabilities, in accordance with the Americans with Disabilities Act (ADA) and applicable state and local accessibility laws.

Location partners are responsible for ensuring that the placement area around each vending machine meets ADA accessibility standards, including but not limited to:

  • Adequate clear floor space and aisle width for wheelchair users
  • Placement within ADA-compliant reach ranges
  • Unobstructed access routes to and from the machine

These Terms shall be governed by and construed under the laws of the State of Florida, without regard to conflict of law principles.
